Global-e Completes Acquisition of US-Based Passport for $350 Million

en.Wedoany.com Reported - Global-e Online Ltd. has announced the completion of its acquisition of Passport Global Inc., a US-based cross-border e-commerce logistics solutions company, for a total consideration of $350 million, financed through roughly equal amounts of cash and Global-e ordinary shares. An additional contingent consideration of up to $75 million is available, subject to Passport achieving specific financial performance in 2026.

The acquisition will strengthen Global-e's logistics capabilities, adding advanced standard delivery solutions supported by an efficient, asset-light, multi-carrier network covering cross-border, domestic, and last-mile delivery. Passport's capabilities and network will also enhance Global-e's ability to execute direct injection and consolidated returns, supporting the provision of scalable and cost-effective logistics solutions. Additionally, through the Passport brand, Global-e will offer non-MoR (non-Merchant of Record) solutions to meet and support the needs of specific merchant groups.

Passport founder and CEO Alex Yancher has joined Global-e's executive management team as CEO of Passport, a division of Global-e.

Global-e President Nir Debbi stated that by combining Passport's advanced cross-border logistics infrastructure and asset-light multi-carrier network with its end-to-end platform, the company can deliver more reliable, cost-effective shipping, faster delivery, and a better post-purchase experience, creating tangible value for global merchants and their customers.

Alex Yancher stated that becoming part of Global-e enables Passport to fulfill its mission of simplifying cross-border logistics on a larger scale, and that Global-e's resources, broad platform, and deep e-commerce expertise will accelerate growth and unlock operational efficiencies.

The company will update its 2026 outlook during its Q2 2026 earnings call (expected in August) to incorporate the impact of the Passport acquisition.
