Canada's Equinox Gold and Orla Mining Complete Merger on July 31, with Annual Gold Production of Approximately 1.1 Million Ounces

en.Wedoany.com Reported - Vancouver-based gold mining company Equinox Gold Corp. and Orla Mining Ltd. announced the completion of their business combination, effective July 31. The combined company is expected to produce approximately 1.1 million ounces of gold annually, based on the midpoint of the two companies' 2026 production guidance; with the commissioning of North American growth projects, annual production is expected to exceed 1.9 million ounces.

The combined company will concentrate over 60% of its production at three long-life mines in Canada, while retaining free cash flow and a pipeline of growth projects. Production growth is expected from the Valentine Phase 2 expansion project in Canada, as well as the commissioning of Castle Mountain in the United States, South Railroad in the United States, Los Filos in Mexico, and the Camino Rojo underground mine in Mexico.

Following the completion of the transaction, Ross Beaty stepped down as Chairman of the Equinox Gold Board and transitioned to the role of Honorary Chairman and Special Advisor to the Board; Chuck Jeannes was appointed Chairman-Elect. Current Chief Executive Officer Darren Hall will retire on October 31, 2026, and President Jason Simpson will succeed him as CEO. Hall will work with Simpson over the next three months to complete the transition.

The reconstituted Equinox Gold Board of Directors includes Chuck Jeannes (Chairman-Elect), Lenard Boggio (Lead Director), Tamara Brown, Omaya Elguindi, Douglas Forster, Darren Hall, Blayne Johnson, Rob Krcmarov, Jason Simpson (President), David Stephens, and Mike Vint. Equinox Gold plans to delist Orla from the Toronto Stock Exchange and NYSE American and terminate its public company reporting requirements. Orla shares will automatically convert into Equinox Gold shares approximately two weeks after the completion of the transaction.

Equinox Gold will report its second-quarter financial results after market close on August 5, 2026, at which time it will disclose pro forma benefits of the transaction and 2026 consolidated guidance. BMO Capital Markets served as financial advisor to Equinox Gold, while Trinity Advisors Corporation, Scotiabank, and others provided financial advisory services to Orla.
