en.Wedoany.com Reported - On October 19, Chinese digital technology service enterprise Runjian Co., Ltd. disclosed that its wholly-owned subsidiary Wuxiang Yungu Co., Ltd. signed an "AI Token Cross-Border Sales Service Contract" with an overseas company referred to as Company X, with a contract value of USD 200 million (approximately RMB 1.338 billion), and the customer's annual minimum procurement amount agreed to be no less than that amount. The contract term runs from October 19, 2026 to October 18, 2027, and the service content is AI large model inference invocation.

Under the contract, Wuxiang Yungu provides the customer with designated API access addresses and authentication keys via the internet, and the overseas customer deploys its own business systems and initiates inference requests. The parties bill based on the actual number of tokens consumed, with the specific unit price confirmed by both parties in written orders.

Service fees may be denominated in US dollars or an equivalent amount of RMB, but all settlements shall be made in RMB. The parties have also established an annual minimum procurement guarantee mechanism. Within 10 working days after the service period expires, the parties shall reconcile the cumulative token consumption amount. If actual consumption falls short of the agreed minimum procurement threshold, the customer shall make up the difference; any amount exceeding the guaranteed minimum shall be settled based on actual service fees.
The counterparty, Company X, is an overseas enterprise, and Runjian Co., Ltd. has handled the disclosure of its company name, place of registration, main business, and shareholders in accordance with the confidential information exemption disclosure procedure. The company confirms that Company X has no affiliated relationship with Runjian Co., Ltd.'s controlling shareholder, actual controller, directors, or senior management, and this contract does not constitute a related-party transaction. Runjian Co., Ltd. also disclosed that contract performance may be affected by factors such as the policy environment, service quality, and equipment failures, and there are risks of service delays, interruptions, and liability for breach of contract.
