Wedoany.com Report on Mar 9th, Pan African Resources PLC (PAR) has entered into a binding agreement with ASX-listed Emerson Resources Limited to acquire 100% of Emerson's shares via an all-scrip transaction, valuing Emerson at approximately A$311 million. Under the terms of the deal, Emerson shareholders will receive 0.1493 PAR shares for each Emerson share held, delivered in the form of CHESS Depositary Interests quoted on the ASX.
Based on PAR's closing share price on March 6, 2026, this implies a value of A$0.45 per Emerson share, representing a significant premium to its recent trading price. Upon completion, Emerson shareholders will hold approximately 4.24% of the combined group. PAR intends to establish a Foreign Exempt Listing on the ASX to facilitate local shareholder trading of its depositary interests.
The Emerson board unanimously recommends shareholders vote in favor of the transaction, with major shareholders Noontide Investments and TA Private Capital having indicated their support. The acquisition will consolidate full ownership of the Tennant Creek joint venture in the Northern Territory, where a PAR subsidiary has been Emerson's joint venture partner since 2021. The full ownership structure removes incentive splits and enables Emerson's assets to access PAR's Nobles processing facility.
The Tennant Creek field has historically produced over 5.5 million ounces of gold and 470,000 tonnes of copper. Emerson holds approximately 1,800 square kilometers of tenure in the region and also owns early-stage gold-copper projects in New South Wales. Through this transaction, Emerson shareholders receive an immediate premium and exchange their shares for stock in a cash-generative FTSE 250 gold producer.
PAR produced 128,000 ounces of gold in the six months to December 2025, generating revenue of $487.1 million and profit of $147.8 million. It has a resource base of 42.9 million ounces and forecasts production exceeding 275,000 ounces for FY2026. Eligible Australian shareholders are expected to qualify for capital gains tax scrip-for-scrip rollover relief.
The Scheme Booklet is expected to be dispatched in late May to early June 2026, with the Scheme Meeting scheduled for early to mid-July 2026. The transaction is expected to be completed by late July 2026. Emerson Chairman Mark Connelly is expected to join the PAR board as a Non-Executive Director upon completion.
