Upon completion of the subscription, Xingye Gold (Hong Kong) will hold 20% of TAT's issued shares, becoming its largest shareholder.
Xingye Silver Tin, officially named Inner Mongolia Xingye Silver Tin Mining Co., Ltd., is an A-share listed company primarily engaged in non-ferrous metal mining and processing, with core products including silver, tin, lead, zinc, and other metals. Tartana Minerals is an Australia-based mineral exploration company focused on the exploration and development of silver, copper, zinc, gold, and other minerals. The company holds 8 mining rights and 22 exploration rights (including those under application) in high-potential metallogenic belts in Queensland, Australia, covering a total area of approximately 2,350 square kilometers.
According to the disclosure, the subscription will be conducted in two tranches: the first tranche will be completed within 15 business days after TAT shareholder approval, involving approximately 56.1 million shares worth about A$2.9733 million; the second tranche will be completed after meeting conditions such as approval from the Australian Foreign Investment Review Board (FIRB), involving approximately 41.7 million shares worth about A$2.2094 million. After the transaction, Xingye Gold (Hong Kong) will obtain a 20% equity stake in TAT and will have the right to nominate one director to TAT's board.
Tartana Minerals' core assets are located in northwestern Queensland, a significant multi-metal metallogenic belt in Australia with mature mining infrastructure and development conditions. This strategic investment will help Xingye Silver Tin expand its overseas mineral resource layout and enhance its resource reserves in non-ferrous metals such as silver, copper, and zinc. Xingye Silver Tin stated that this transaction aligns with the company's overseas development strategy and will help improve its resource reserves and sustainable development capabilities. The transaction is still subject to approval from Australia's FIRB and TAT's shareholders' meeting.
