The two parties will expand the scope of logistics services on the basis of their existing business, with the cooperation also covering the Amazon Web Services (AWS) infrastructure supply chain. The agreement also includes purchase options for existing Kuehne+Nagel shares, with the vesting of the relevant options tied to commercial milestones and the performance of logistics services over a period of up to 7 years.

AWS-related logistics services cover data center infrastructure construction, equipment deployment, ongoing maintenance, upgrades, and expansion projects. Kuehne+Nagel will leverage sea freight, air freight, contract logistics, and its global supply chain network to provide equipment and materials transportation and supporting logistics services for AWS infrastructure projects, with the service scope spanning from facility construction to subsequent operations and maintenance phases.

Under the agreement, the purchase options obtained by Amazon correspond to existing Kuehne+Nagel shares and may be settled in cash, or Amazon may choose to complete settlement in the form of shares. The options will gradually vest based on commercial milestones agreed upon by both parties and the services actually provided. Kuehne+Nagel has engaged external financial institutions to support the transaction structure through hedging transactions related to Kuehne+Nagel shares. The company's announcement did not disclose the specific percentage of shares corresponding to the options.

Kuehne+Nagel and Amazon have previously carried out large-scale logistics cooperation. Public information shows that Amazon is currently one of Kuehne+Nagel's important customers, and this agreement further expands the scope of cooperation to the AWS global cloud infrastructure supply chain. Kuehne+Nagel disclosed in the second quarter of 2026 that its technology industry business achieved market share growth, and the newly added service scope directly covers logistics links related to data center construction and operations.
