Nauticus Plans to Bring in Up to $50 Million in Strategic Investment
en.Wedoany.com Reported - On September 25, the U.S. underwater robotics company Nauticus Robotics announced that it had signed a non-binding letter of intent with a strategic investor to invest up to $50 million in the company through private equity. The Nauticus board of directors is currently evaluating the transaction and considering engaging an independent financial advisor to participate in the review.
Under the terms of the letter of intent, the transaction still requires completion of due diligence, negotiation of definitive agreements, relevant approvals, and confirmation of closing conditions. Nauticus explicitly disclosed that, at this stage, the investor has no binding obligation to provide funds; the final transaction structure may involve dilution of existing shareholders' equity, and under specific terms may also result in a change of control of the company.
Nauticus currently focuses primarily on developing autonomous underwater robots and autonomous control software, with a business model covering underwater robot services, sales of complete vehicles and components, and software licensing. Its Aquanaut platform primarily targets offshore oil and gas, subsea infrastructure monitoring, and other marine industrial scenarios, while Nauticus ToolKITT was officially commercialized in September and can be deployed as autonomous control software to existing ROV equipment.
The company is also accelerating the development of its overseas manufacturing and service system this year. In February, Nauticus signed another investment agreement of up to $50 million with Master Investment Group, of which the first tranche of $3 million was used to launch operations in the UAE, and the subsequent amount of up to $47 million is planned to support the construction of local manufacturing, sales, and offshore robotics service centers. This transaction is a signed securities purchase agreement and is a separate arrangement from the strategic investment letter of intent newly disclosed on September 25.
Nauticus also continued to advance commercial deployment in 2026. In early September, the company disclosed that both ROV systems had entered offshore operations, while also promoting ToolKITT software licensing, the Aquanaut platform, and electric manipulator products into broader commercial and defense markets. If the proposed investment is ultimately completed, it will be used to support the company's short-term and long-term commercialization goals.
