Wedoany.com Report-Dec.9, ProAmpac has entered into a definitive agreement to acquire TC Transcontinental Packaging (TCP) from TC Transcontinental for US$1.51 billion (approximately CAD$2.1 billion). The final price remains subject to standard adjustments related to debt, cash, and net working capital.
Headquartered in Chicago, Illinois, TC Transcontinental Packaging operates 25 production plants and specializes in extrusion, printing, lamination, converting, and recycling.
Headquartered in Chicago, Illinois, TCP operates 25 manufacturing facilities across North America, Latin America, the United Kingdom, and New Zealand. Its capabilities include extrusion, printing, lamination, converting, and recycling of flexible packaging materials. The company supplies a broad range of products to customers in the dairy, coffee, protein, pet food, agriculture, beverage, home and personal care, consumer, and medical sectors.
For the twelve-month period ended 27 July 2025, TCP recorded revenue of approximately US$1.2 billion.
ProAmpac stated that the acquisition represents a strong strategic fit, adding specialised expertise in dairy, protein, medical and pharmaceutical packaging while expanding manufacturing footprint across four continents. The transaction will also strengthen ProAmpac's ability to develop advanced sustainable solutions, including high-barrier films, mono-material structures and fibre-based packaging.

The transaction is anticipated to close during the first quarter of 2026, pending shareholder approval, regulatory clearances and satisfaction of other customary closing conditions.
Following completion, the combined organisation will operate an extensive global network and serve a diversified customer base with enhanced innovation and sustainability capabilities.
