Mosaic Sells Potash Mine in New Mexico, US

Wedoany.com Report-Dec.26, The Mosaic Company (NYSE:MOS) announced on December 22, 2025, that it has signed a definitive agreement to sell Mosaic Potash Carlsbad, Inc. This includes the operations, assets, and liabilities of the Mosaic mine located in Carlsbad, New Mexico, United States, to International Minerals Carlsbad, LLC for a total of US$30 million.

The transaction structure features an initial cash purchase price of US$20 million, subject to customary adjustments at closing. It also includes deferred cash consideration of US$10 million, payable in three equal annual installments starting in 2029. International Minerals Carlsbad, LLC will assume responsibility for the asset retirement obligations related to the Carlsbad operations.

Upon completion, the buyer will take over Mosaic's potash and water business in New Mexico, along with associated intellectual property, including the K-Mag and Dynamate brands. Mosaic anticipates closing the deal in the first half of 2026 and recording a non-cash asset impairment in the fourth quarter of 2025.

Karen Swager, Executive Vice President, Operations at Mosaic, said: "This transaction is a win for all parties. We are pleased that International Minerals Carlsbad will provide continuity for our Carlsbad employees at the site, and that Mosaic has taken another step to focus on core assets. Our potash production is now entirely focused on our operations in Saskatchewan, Canada which are expected to continue to generate strong returns."

Sergio Saenz, CEO of International Minerals Carlsbad, stated: "The acquisition is an exciting business opportunity, and we look forward to building upon the 100+ year legacy of the potash industry in New Mexico."

International Minerals Carlsbad, LLC is a Delaware limited liability company whose principals bring over 100 years of combined experience in the fertilizer industry. Lazard Freres & Co. LLC acted as financial advisor to The Mosaic Company in this transaction.

This agreement supports Mosaic's strategy to concentrate on its primary potash production sites in Saskatchewan, Canada, while ensuring continued operations at the Carlsbad facility under new ownership. The sale maintains employment continuity for local workers and preserves established brands in the regional market.
