CE Industries and Auctor Holding Acquire 49.99% Stake in Polish OT Logistics for €23.6 Million

en.Wedoany.com Reported - Jaroslav Strnad's industrial holding company CE Industries, together with financial investor Auctor Holding under J&T Private Equity Group, has completed the acquisition of a controlling stake in Polish logistics group OT Logistics from its largest single shareholder. The transaction was carried out through the acquisition vehicle DD Rail Properties, purchasing 6,548,080 shares from Cres Fundacja Rodzinna, Marsel Fundacja Rodzinna, and Neuvic Fundacja Rodzinna, representing 49.99% of OT Logistics' share capital and voting rights, for a total value of €23.6 million (PLN 102.4 million). The acquisition has been approved by the Polish competition authority UOKiK.

On June 10, 2026, the Supervisory Board of OT Logistics appointed Jakub Kudýn and Martin Vozár as members of the Management Board, serving alongside Kamil Jedynak, who continues as Chairman of the Management Board. Under the new ownership structure, OT Logistics operates port, freight forwarding, rail, and water engineering businesses in Poland, with subsidiaries including OT Port Świnoujście, OT Port Gdynia, freight forwarding company Rentrans Cargo, rail operator Kolej Bałtycka, and Port Żegluga Szczecińska.

In port operations, OT Port Świnoujście has an annual handling capacity of 8 million tons, with a quay length of 945 meters, water depth of 13.2 to 13.5 meters, and storage area of 324,000 square meters. OT Port Gdynia has an annual handling capacity of 4.5 million tons, with a quay length of 2,870 meters and water depth of up to 14.5 meters. Rail operator Kolej Bałtycka provides rail services, bulk cargo transport, siding operations, border transit primarily to and from Germany and Poland, and traction services at the ports of Szczecin and Świnoujście. The company operates 10 locomotives.

In 2023, OT Logistics handled 7 million tons of bulk and general cargo at its ports, with a total group workforce of 630 employees. Its business portfolio covers agriculture, containers, general cargo, metallurgy and power, construction materials, aggregates, fertilizers, and roll-on/roll-off transport.
