en.Wedoany.com Reported - Johnson Matthey has completed the sale of its Catalyst Technologies business to Honeywell, marking a key step in the company's transformation into a focused group centered on platinum group metals (PGM) expertise.
In line with the plan announced on February 23, 2026, and following shareholder approval, the Board confirmed that it will return £1 billion in net proceeds from the sale to Johnson Matthey shareholders. Of this amount, £800 million will be returned via a special dividend (including a share consolidation), with the remaining £200 million to be returned through an on-market share buyback program.
The special dividend is expected to be paid in the third quarter of 2026. The company will issue a circular and convene a general meeting notice detailing the special dividend and share consolidation in due course. The share buyback program will commence after the special dividend is paid. This return of proceeds does not affect Johnson Matthey's existing shareholder return policy.
Chief Executive Officer Liam Condon stated that the sale of the Catalyst Technologies business is significant for Johnson Matthey, as the company is now transforming into a focused, lean, and cash-generating group. He also thanked the employees of the division for their contributions over the years and wished the team well in the future.
For the purposes of UK Listing Rule 7.3.3, Johnson Matthey confirms that, since the company's announcements on May 22, 2025, and February 23, 2026, there have been no material changes affecting any of the matters therein.
