BP has not yet disclosed potential buyers, transaction price, specific asset scope, or expected completion timeline.

According to business materials updated by BP in March 2025, Archaea Energy is the largest renewable natural gas producer in the US, with operations spanning 32 states. Its operating assets include landfill gas-to-renewable natural gas plants, anaerobic digestion facilities, and landfill gas-to-power facilities. The company commissioned nine renewable natural gas plants in 2024, with an annual production capacity of approximately 11 million MMBtu from its renewable natural gas plants and anaerobic digestion facilities.
Archaea Energy builds renewable natural gas plants using a modular design platform, integrating gas processing equipment into interchangeable skid-mounted modules to shorten design and construction cycles across different projects. In April 2024, the company commissioned a large-scale modular plant in Kansas; in August of the same year, its joint venture Lightning Renewables with US waste management company Republic Services commissioned its first renewable natural gas plant in Fort Wayne, Indiana. The two parties had previously planned to develop approximately 40 landfill gas-to-renewable natural gas projects through this joint venture.
BP completed the acquisition of all outstanding common shares of Archaea Energy on December 28, 2022, with a final cash consideration of $3.137 billion. The enterprise value BP cited when announcing the deal was approximately $4.1 billion, including approximately $800 million in net debt. These figures represent historical acquisition data from 2022 and should not be construed as an offer or valuation for this potential sale.
The initiation of this sale process is part of BP's portfolio adjustment. Archaea Energy currently holds operating facilities, joint venture development projects, and a pipeline of future projects.
