Romania's Rovina Valley Gold-Copper Project Plans to Secure $400 Million in Financing

en.Wedoany.com Reported - On September 3, Euro Sun Mining signed a non-binding memorandum of understanding with Macquarie Bank and Trafigura, under which the three parties plan to arrange up to $400 million in senior project financing for the Rovina Valley gold-copper project in Romania. Under the agreement, Macquarie Bank and Trafigura will conduct due diligence, design the financing structure, and advance internal approvals during an 18-month mandate period, with the goal of forming a commitment letter for arranging, syndicating, and underwriting the financing.

The agreement also includes exclusivity arrangements during the mandate period. Macquarie holds a preferential participation right of up to 15% in qualifying alternative financing transactions, which remains in effect for 12 months after the termination of the memorandum of understanding. Euro Sun has also entered into a term sheet for a $3 million strategic equity investment with Urion Investments Holdings Limited, a Trafigura Group entity, under which Urion intends to subscribe for approximately 21.5 million units at C$0.19 per unit; each unit consists of one common share and half a warrant, with each full warrant entitling the holder to subscribe for one common share at C$0.40 per share within 48 months following the closing of the transaction. The equity investment remains subject to approvals from the Toronto Stock Exchange, the company's board of directors, and others, as well as the execution of definitive agreements.

Euro Sun plans to use the net proceeds from the equity financing for the Rovina Valley project and general corporate purposes. The proposed $400 million in senior debt financing and the $3 million equity investment do not replace the existing financing agreements of up to $200 million previously signed between Euro Sun and Trafigura. Those agreements were formalized in December 2025, of which the first tranche of $2.5 million was fully drawn in mid-2025, the second tranche of $17.5 million may be drawn subject to conditions by June 30, 2027, and the third tranche of $180 million may be drawn subject to conditions by June 30, 2031; subsequent drawdown conditions include the completion of related land acquisitions, environmental and social impact assessments, and obtaining regulatory permits.

The Rovina Valley project, 100% owned by Euro Sun, is located in west-central Romania, with mineral rights held through SAMAX Romania S.R.L. The existing mining license was approved by the Romanian government in 2018, with a validity period of 20 years, renewable in five-year increments. Euro Sun has reported project resources of approximately 7 million ounces of gold and 1.4 billion pounds of copper; the project is currently still in the development and financing stage, and prior to the completion of the proposed $400 million financing, due diligence, financing structure determination, internal approvals, and final agreement execution remain outstanding.
