en.Wedoany.com Reported - On October 29, Canada's Critical One Energy and Solar International Core Canada (SICC) signed a binding memorandum of understanding to introduce CAD 25 million in strategic funding for the Howells Lake antimony-gold project in Ontario, and to establish a debt financing framework of up to CAD 400 million for mine and processing facility construction, while also arranging future antimony product offtake arrangements.

Under the arrangement, SICC intends to subscribe for 12.5 million common shares of Critical One at CAD 1.20 per share, representing an investment of CAD 15 million and approximately 12% of the company's fully diluted equity, with a 12-month voluntary lock-up period. SICC will also contribute CAD 10 million to acquire, on behalf of Critical One, a carried interest in the proposed Ontario antimony processing facility.

The construction financing portion has not yet formed a formal loan commitment. According to the memorandum, SICC will use commercially reasonable efforts to provide Critical One with an indicative term sheet for up to CAD 400 million in construction debt financing within 90 days of signing, with the funds intended for industrial infrastructure construction at the Howells Lake mine and related processing facilities.

The offtake arrangement covers up to 150 million pounds of future antimony products from Howells Lake, with SICC obtaining exclusive offtake rights at prices determined by international benchmarks. The project has not yet established a mineral resource estimate compliant with NI 43-101 standards, and future production is not guaranteed. Critical One is carrying out a 20,000-meter drilling program, one of the objectives of which is to support the project's maiden resource estimate.

The proposed Ontario antimony processing facility is being developed and project-managed by Northlink Development Group, with Howells Lake planned as a future source of antimony feedstock. The memorandum enables Critical One to participate simultaneously in upstream mine development and downstream processing facility equity arrangements.
