The term sheet pertains to a proposed prepayment financing and gold sale agreement of up to C$30 million, subject to the execution of definitive documentation, completion of due diligence, and satisfaction of closing conditions.

On April 15, 2026, LaFleur Minerals announced its selection of Trafigura to arrange and provide a prepayment financing and gold sale agreement of up to C$30 million for the development of the Swanson gold deposit and processing operations at the company's wholly-owned Beacon gold processing plant. The prepayment financing, which does not require commodity price hedging, will fund plant operations, a ramp-up plan to increase target processing capacity to 1,250 tonnes per day, and the development of the Swanson gold deposit.

The exclusivity and due diligence period has been extended to August 31, 2026, to facilitate technical due diligence, arrange site visits, and finalize definitive documentation for the proposed agreement. The parties are working to arrange site visits to the Beacon gold processing plant and the Swanson gold deposit by August 15, 2026. The proposed agreement remains subject to the execution of definitive documentation and satisfaction of relevant conditions precedent, including completion of Trafigura's due diligence and obtaining applicable internal and regulatory approvals.

Regarding the plant renovation, the crushing, grinding, filtration, ore storage, concentration, and reagent circuits are substantially complete. The filtration circuit is largely finished, and the concentrator renovation is complete. Completed work includes overhauling the primary jaw crusher and secondary and tertiary cone crushers, replacing ball mill liners, refurbishing drum filters and vacuum systems, and renovating pumps, conveyors, and chutes throughout the plant.

Significant progress was made on the leaching circuit in June. New agitator mechanisms and airlift devices for the leach tanks have been largely received and installed, with sandblasting, painting, and final mechanism installation remaining as the primary tasks. Substantial progress has also been made on the renovation of utilities and compressed air systems, with completion at approximately 90%. Remaining work primarily focuses on the grizzly and coarse ore feed section, the refinery (induction furnace) commissioning, and final commissioning of compressors, overhead cranes, and backup power. The new compressor building is approximately 90% complete. Maintenance work on the tailings storage facility is expected to begin soon. The company expects to complete the remaining mechanical work in the fourth quarter of 2026 and commence phased commissioning using existing on-site inventory.
