en.Wedoany.com Reported - On September 8, Tamarack Valley Energy and Headwater Exploration signed a definitive arrangement agreement to merge through an all-stock transaction valued at approximately C$10 billion. Under the terms of the agreement, Headwater shareholders will receive one Tamarack common share for each Headwater common share held, with Tamarack expected to issue approximately 237.8 million new shares. Upon completion of the transaction, existing Tamarack shareholders and Headwater shareholders will hold approximately 66.5% and 33.5% of the combined company, respectively. The transaction is expected to close in mid-Q4 2026, subject to approval by shareholders of both companies, regulatory authorities, and the court.

The combined company will focus on developing the Clearwater oil play in Alberta, forming a contiguous core asset portfolio across Marten Hills, Nipisi, and Marten Hills West. The two companies expect combined immediate Clearwater production to exceed 80,000 barrels of oil equivalent per day (boe/d), with more than 300 million boe of proven and probable reserves, land rights covering over 1,500 sections, and more than 3,000 identified drilling locations. The combined company is expected to have net cash exceeding C$50 million at closing and available financing capacity of more than C$1.2 billion, including an undrawn C$875 million credit facility maturing in May 2030 that remains undrawn as of September 2026.

The parties plan to integrate exploration and development programs, operations, marketing, and corporate management systems starting in 2027, with expected ongoing synergies of more than C$50 million annually and cumulative synergies exceeding C$350 million over the development plan period. Tamarack expects that, upon completion of the transaction, its 2026 full-year corporate average production will reach 65,500 to 67,500 boe/d, with its 2026 capital plan adjusted to C$450 million to C$470 million. Combined full-year capital investment for both companies is expected to be approximately C$700 million.

Tamarack has also secured potential long-term egress capacity of 35,000 bbl/d, of which 25,000 bbl/d of Trans Mountain pipeline capacity is planned to be available in Q1 2027, subject to completion of the drag-reducing agent expansion project. An additional 10,000 bbl/d is proposed to be shipped via the South Bow Prairie Connector to Cushing and U.S. Gulf Coast markets, with this route potentially commencing as early as late 2028, subject to project approval and construction.

The transaction also includes the creation of a new publicly listed exploration company, Tributary Exploration. Tamarack and Headwater will transfer certain non-core assets to this company, including exploration rights in the Mannville formation in Alberta, the Handel thermal heavy oil opportunity in Saskatchewan, and the McCully natural gas production assets in New Brunswick. Tributary Exploration will be operated by Headwater's existing management team and will operate independently from Tamarack following the completion of the transaction.

The parties expect to mail a joint information circular to shareholders in October 2026 and plan to hold separate special shareholder meetings in November to consider the transaction. Tamarack's current President, Steve Buytels, is planned to assume the role of President and Chief Executive Officer of the combined company effective January 1, 2027, while current Chief Executive Officer Brian Schmidt will transition to Executive Chairman.
