The transaction, completed on June 26, includes equity, debt, and share swaps, with the combined entity valued at INR 300 crore post-investment. The deal structure consists of 50% cash payment (via equity and debt, with no debt provided to Xencia Technology) and 50% equity swap (S&M shares allocated to Xencia Technology promoters). Earlier in March this year, S&M had acquired AWS partner Nubinix Technologies.

Founded in 2021, S&M is a business-to-business technology consulting firm with over 300 professionals across eight countries, helping enterprises implement and manage cloud, artificial intelligence, data, and cybersecurity solutions using platforms such as Microsoft and AWS. Company executives told the Economic Times that AWS and Microsoft together account for approximately 50% of the cloud ecosystem, making expertise across both platforms crucial, which is why they identified Xencia and Nubinix as strategic acquisition targets. S&M CEO Jaikrishnan G stated that partnerships with the largest providers—Microsoft, AWS, GCP, and Oracle—are important to them because enterprises often build multi-cloud architectures using both Microsoft and AWS, so he aims to establish partnerships with all providers.

Founded in 2010, Xencia Technology has accumulated deep expertise in Microsoft technologies, holding eight Microsoft Advanced Specializations covering application modernization, security, modern work, Azure infrastructure, data, and AI. S&M stated in a press release that the company is certified under ISO 27001, SOC 2 Type 2, and PCI DSS, making it one of the most qualified Microsoft partners in India. Xencia serves over 500 cloud customers and has more than 150 Azure-certified professionals, having completed over 80 large-scale data center migrations. This acquisition will strengthen S&M's multi-cloud AI capabilities, enabling the combined entity to help enterprises modernize their technology infrastructure and deploy AI at scale.

Through this acquisition, S&M plans to expand operations by adding teams in Bengaluru, Kochi, and Chennai, while also increasing revenue from overseas markets such as the UK, Australia, and Serbia. S&M reported revenue of INR 240 crore and net profit of INR 24 crore for fiscal year 2026, with a target to scale its Microsoft cloud business to INR 1,000 crore in the coming years. The company's clients span industries including banking, financial services and insurance, e-commerce, and manufacturing. Jaikrishnan noted that banks are adopting cloud services at a slower pace, while e-commerce enterprises are progressing more rapidly.
