Talos Energy Completes Acquisition of Shell's Deepwater U.S. Gulf Assets at a Net Closing Price of $420 Million
en.Wedoany.com Reported - On September 22, U.S. independent oil and gas producer Talos Energy announced the completion of its previously disclosed acquisition of deepwater oil and gas assets in the U.S. Gulf, acquiring from Shell Offshore Inc. a 50% working interest and operatorship in the Coulomb field, as well as a 25% non-operated working interest in the Na Kika platform operated by BP and corresponding interests in four associated fields: Kepler, Ariel, Fourier and Herschel. The final net cash purchase price for Talos at closing was $420 million, including a $42.5 million deposit previously placed in escrow, subject to customary post-closing adjustments.

This closing marks the latest milestone following Talos's execution of a deepwater asset acquisition agreement on June 30 of this year. At signing, Talos and a Ridgewood Energy affiliate jointly acquired the relevant assets from Shell for a total transaction consideration of $1.7 billion, with Talos's corresponding initial cash consideration of $850 million. Because the transaction's economic effective date was retroactive to July 1, 2025, cash flow generated by the assets during the interim period was included in the final settlement. Talos had previously estimated actual net cash payment of approximately $450 million to $500 million, and the final closing price was further reduced to $420 million.
Following the acquisition, Talos obtained operatorship of the Coulomb field. The Na Kika platform continues to be operated by BP, with Talos holding a 25% working interest. Na Kika is a deepwater semi-submersible production platform that began production in 2003; the Coulomb field commenced production in 2005 via subsea tieback. Shell previously held a 50% non-operated working interest in the Na Kika platform and full interest in the Coulomb project. The divested assets also include associated decommissioning obligations, partial interest arrangements for future tieback projects, and crude oil offtake arrangements.
According to transaction data announced by Talos in June of this year, the asset interests it acquired had average production of approximately 16,000 barrels of oil equivalent per day in the first quarter of 2026, of which approximately 77% was crude oil; corresponding incremental proved reserves of approximately 23 million barrels of oil equivalent and probable reserves of approximately 10 million barrels of oil equivalent. The company also incorporated Coulomb as an operated asset into its deepwater U.S. Gulf business and plans to continue advancing infrastructure-led exploration and follow-on development opportunities around existing production facilities.
The Na Kika interest was previously subject to a 30-day right of first refusal held by a BP affiliate. Talos confirmed in its second-quarter results released in August that BP did not exercise this right of first refusal, allowing Talos to acquire the 25% working interest in the Na Kika platform and associated fields as originally planned. With this condition resolved, the transaction proceeded to this closing.
Regarding financial consolidation, Talos stated that the acquired assets will be included in its third-quarter 2026 results for the period from closing to quarter-end, and will be fully consolidated into the company's financial statements starting in the fourth quarter. The company will update its full-year 2026 operational and financial guidance when it releases third-quarter results on November 3.
