Telenor Pakistan and Ufone Merge into PTML, PTCL Becomes Independent

en.Wedoany.com Reported - Pakistani telecom operators Telenor Pakistan and Ufone have merged into a single entity, PTML, while Pakistan Telecommunication Company Limited (PTCL), previously integrated with Ufone, will operate independently in accordance with the regulations of the Competition Commission of Pakistan (CCP).

The boards of directors and chief executives of the two companies will also remain independent. The merger was completed under the framework approved by the CCP, and the combined mobile business now operates through a merged company. As one of the conditions of the transaction, PTCL has been separated from the mobile business and is no longer affiliated with the merged entity.

This means that Telenor Pakistan and Ufone will operate together as a merged mobile entity, with their network assets, customer base, and operations integrated under a single structure, while PTCL will function as an independent company. According to sources who spoke to ProPakistani, PTCL's separation from the merged mobile business is a direct result of the CCP's requirement that it operate as an independent entity rather than remaining within the merged company. The source added that as part of the post-merger integration process, Ufone has now moved to the company's 345 headquarters.

In a separate development, PTCL has appointed Mohammad Nadeem Khan as interim Chief Executive Officer for a period of 14 days. In a notice to the Pakistan Stock Exchange, PTCL stated that Mohammad Nadeem Khan will succeed Hatem Mohamed Bamatraf as CEO effective from July 2, 2026, with the appointment valid for 14 days. This personnel change follows a management reshuffle at PTCL and adjustments to its board of directors. The company informed the exchange on Wednesday that Khaled Hegazy and Marwan Bin Shakar resigned from the board on July 1, 2026. Their successors are Mohamed Dukandar and Sabri Ali Yehya, who joined the board on July 1, 2026.

Following these adjustments, the restructured PTCL board now consists of nine members. Zarrar Hasham Khan will serve as Chairman, with other directors including Khalifa Al Shamsi, Anad Khan Cheema, Imdad Ullah Bosal, Jawad Paul Khawaja, Lamia Lemkecher, Nazih El Hassanieh, Mohamed Dukandar, and Sabri Ali Yehya. After the restructuring, the combined Telenor Pakistan-Ufone business will operate as the mobile division of the group, while PTCL will function independently as directed by the CCP.
