Alcon Silver Shareholders Approve Arrangement Plan with Mexican Gold

("Alcon") approved the plan of arrangement, as set forth in the arrangement agreement previously entered into with Mexican Gold Mining Corp. (TSXV: MEX, "Mexican Gold") on April 8, 2026, by a majority of 66 2/3% at the annual general and special meeting held on July 3, 2026. Alcon shareholders and bondholders voted together as a single class on the matter.

Alcon will next apply to the court for a final order approving the arrangement. The application is scheduled to be heard on July 8, 2026, at 9:45 a.m. (Vancouver time) before the Supreme Court of British Columbia. If the final order is granted, Alcon and Mexican Gold expect to complete the arrangement on or about July 15, 2026, or such other date as may be mutually agreed upon by the parties.
