Northern Star Rejects Gold Fields' AUD 38.7 Billion Acquisition Proposal

The transaction proposed by Gold Fields was valued at approximately AUD 38.7 billion, equivalent to about USD 27.1 billion, and was intended to acquire Northern Star through a cash-and-share arrangement. Northern Star's board of directors determined that the offer undervalued the company and that the timing of the proposal was inappropriate, and therefore decided not to accept it.

According to the public proposal, Gold Fields' offer represented a premium of approximately 14% over Northern Star's previous market price. Northern Star's board considered this premium to be below the level typically required for large Australian merger and acquisition transactions, and noted that it would also result in existing shareholders holding Gold Fields shares after the transaction was completed, thereby increasing exposure to South African and other overseas assets. Northern Star has not yet entered a formal sale process and has not announced the launch of a strategic review.

Gold Fields stated that if the two parties completed the merger, it would create one of the largest gold producers in the world by scale, and it is expected to generate approximately USD 4 billion to USD 5 billion in synergies. Gold Fields currently already owns gold assets in Australia including Gruyere, St Ives, Agnew and Granny Smith, and completed the acquisition of Gold Road Resources in 2025, thereby obtaining 100% interest in the Gruyere gold mine.

Northern Star is one of Australia's largest listed gold producers, with core assets including the Super Pit in the Kalgoorlie region of Western Australia as well as the Pogo and other gold mines. In an announcement released on the Australian Securities Exchange on September 28 in response to media reports, the company explicitly confirmed that Gold Fields had previously made a non-binding proposal, but that the board, after evaluation, considered the proposal not to be in the best interests of shareholders. The ASX classified Northern Star's related response as a price-sensitive announcement that day.

The transaction currently remains at the stage of a rejected non-binding acquisition proposal. Gold Fields has not yet announced an increased offer or a shift to a hostile takeover, and Northern Star has not disclosed any follow-up negotiation arrangements.
