en.Wedoany.com Reported - Martin Marietta has received all required regulatory approvals for its $13.5 billion merger with Lhoist North America (LNA), with the transaction expected to close in the third quarter of 2026, subject to customary closing conditions.

The merger is structured as a cash-and-stock deal, with consideration comprising $7 billion in cash and $6.5 billion in Martin Marietta stock. LNA, a subsidiary of Belgium's Lhoist Group, operates 20 quarries and production facilities as well as 45 distribution terminals. For the 12 months ended December 31, 2025, the business generated gross sales of $1.8 billion and adjusted EBITDA of $786 million.

LNA also holds more than 2 billion tons of high-quality limestone reserves, with a reserve life exceeding 200 years at current extraction rates. Its operations are concentrated in key markets across the U.S. Southeast and Southwest, complementing Martin Marietta's existing footprint. LNA produces high-calcium lime, dolomitic lime, and industrial mineral products, serving markets such as steel manufacturing, infrastructure, heavy nonresidential construction, environmental, and agricultural applications.

At the time of the announcement, Martin Marietta's Chairman, President, and CEO Ward Nye stated that the acquisition would build on the company's existing aggregates operations, expand its geographic footprint, and immediately establish Martin Marietta as a leading national producer of lime solutions.
