Spinnova Files U.S. IPO Application, Plans to Raise at Least $15 Million
en.Wedoany.com Reported - On August 27, Finnish material technology company Spinnova publicly filed its Form F-1 registration statement with the U.S. Securities and Exchange Commission, advancing its plans for an initial public offering in the United States and a dual listing on the Nasdaq Capital Market. The company is currently listed on Nasdaq First North Growth Market Finland and intends to add a U.S. listing while retaining its existing Finnish listing. The offering is initially expected to raise aggregate gross proceeds of at least $15 million, equivalent to approximately €13 million, with the number of securities to be offered and the price range yet to be determined.

Spinnova plans to use the proceeds from the offering, upon completion, to ramp up production capacity at the Eteläportti demonstration facility, commercialize its technology, and for general corporate purposes. The company expects the offering to potentially take place in September or October 2026, subject to market conditions and related procedures; both the offering and the U.S. listing remain subject to finalization.
In April this year, Spinnova commenced trial runs at the demonstration facility, testing technical solutions related to production efficiency and fiber quality. The company planned at the time to scale up production operations within 2026 based on the trial results. The facility and the raw material preparation plant were previously owned by Woodspin and Suzano Finland, respectively, and Spinnova acquired full ownership following the completion of the related asset acquisition in October 2025.
This public filing of the F-1 document marks a new milestone following the company's disclosure of its U.S. listing plans on August 13. On that date, Spinnova had confidentially submitted a draft F-1 registration statement to U.S. regulators, also indicating an initial fundraising target of at least $15 million.
