en.Wedoany.com Reported - On July 1, Laitong Electronics announced that its controlled subsidiary Haina Laitong plans to sign a software license agreement with Rafay Systems, Inc. Under the agreement, Haina Laitong will act as a distributor, integrating Rafay software with its own computing power products to provide to end customers, and will pay licensing fees to Rafay based on the proportion of sub-license revenue.

The core of this agreement is that Haina Laitong intends to supplement the delivery capability of its computing power products through software licensing. Computing power business involves not only servers, GPU resources, and data center facilities but also requires supporting software platforms for resource management, customer access, service distribution, and usage metering. If Haina Laitong formally signs the agreement with Rafay, it will be able to introduce external software capabilities on top of its existing computing power products and sell them to end customers as integrated products.

The agreement term is set as an exclusive license for one year. If at least $6 million in revenue is achieved in the first year, the license term can be extended by one year.

This revenue threshold is a key clause in the agreement. It not only affects the duration of the cooperation between the two parties but also determines whether Haina Laitong can continue to distribute the relevant software under an exclusive license. According to the announcement, Haina Laitong needs to complete the integration, sales, and conversion of sub-license revenue for the software and computing power products within the license period. In other words, this cooperation is not a one-time software purchase but the establishment of an ongoing relationship centered on software licensing, distribution authorization, computing power product integration, and end-customer delivery.

This transaction constitutes a related-party transaction and still needs to be submitted for shareholder meeting approval. The agreement is currently in the proposed signing stage, and its final effectiveness will depend on the review results and formal signing.

For Laitong Electronics, the key point of its controlled subsidiary's plan to sign the Rafay software license agreement is to extend its computing power products from basic resource supply to "software integration + platform-based services." When end customers purchase computing power services, they typically also need capabilities such as deployment environments, resource scheduling, permission management, operation and maintenance monitoring, and usage accounting. By introducing Rafay software, Haina Laitong can attempt to turn computing power products into more complete solutions, rather than just providing single hardware or computing power resources.

This announcement still releases information before the agreement is signed. Subsequent progress will focus on shareholder meeting review, formal signing of the agreement, software integration implementation, end-customer sales, and whether the first-year revenue target of $6 million can be achieved.
