The partnership is also expected to generate carbon credits, which will be shared by both parties.

The agreement, announced Wednesday, builds on an initial collaboration launched in October 2025. Under the new terms, Verde Renewables, Verde's U.S. subsidiary, will become the preferred supplier of engineered biochar for Ergon's cold-paving emulsion products.

In November 2025, Ergon made a $2 million strategic investment in Verde's common stock and warrants, becoming a strategic shareholder in the sustainable infrastructure technology company. The two companies plan to launch commercial testing projects in the second half of 2026, with target production volumes aimed at transitioning Verde from technology development to recurring commercial revenue.

Beyond road paving, the partners also intend to explore applications in sustainable building materials and have identified Singapore as an initial target market for international expansion. Biochar, a carbon-rich material produced by heating organic matter in low-oxygen conditions, can sequester carbon for centuries when embedded in building materials, making it an increasingly attractive input for companies seeking to reduce the carbon intensity of infrastructure products.

Verde CEO Jack Wong stated that the agreement marks Verde's transition from technology validation to commercial execution, adding that the company's focus is on generating recurring revenue, expanding material applications, and building a platform with growth prospects that far exceed its anticipated Nasdaq listing. Verde is currently listed on the OTCQB over-the-counter market.

Patrick Nation, President of Ergon Asphalt & Emulsions, noted that the road construction industry is actively seeking practical, scalable solutions and believes Verde's biochar platform could become a key component of next-generation materials for Ergon's customer base.
