en.Wedoany.com Reported - The Nemetschek Group completed the acquisition of Heavy Construction Systems Specialists LLC (HCSS), formerly a portfolio company of Thoma Bravo, on July 1, 2026.

Founded in 1986 and headquartered in Sugar Land, Texas, USA, HCSS provides construction software for the North American infrastructure and heavy civil construction sectors, serving over 4,000 customers and employing more than 550 people. In 2025, HCSS reported revenue of approximately $215 million, with annual recurring revenue growth of about 21% and an EBITDA margin of approximately 40%.
HCSS has been integrated into the Nemetschek Group's Build & Construct segment, which also includes Bluebeam, GoCanvas (including SiteDocs), and Nevaris. With the addition of HCSS, the segment's construction workflow software portfolio has been expanded, targeting a market expected to reach $12 billion by 2028. HCSS's accumulated data and industry focus are expected to support AI-related developments in the infrastructure and construction software sectors.
The transaction is expected to generate cross-selling opportunities, broader channel access, tighter integration between office and field workflows, and more AI-based product development. Future plans include expanding the HCSS product portfolio to markets outside North America.
As part of the transaction, Thoma Bravo received shares in the Build & Construct segment, now holding a minority stake of approximately 28%, while Nemetschek retains approximately 72% of the equity. Nemetschek refinanced HCSS's existing debt and liabilities, impacting its net debt position by approximately €450 million. The Build & Construct segment remains part of the Nemetschek Group, managed, controlled, and fully consolidated by Nemetschek, with no change in the shareholder structure of Nemetschek SE.
