Taesa acquires five Brazilian transmission assets for R$2.4 billion

en.Wedoany.com Reported - On August 12, Brazilian transmission operator Taesa completed the acquisition of five transmission project companies from Energisa. The transaction's enterprise value is approximately R$2.4 billion, of which Taesa paid R$1.638 billion to the seller for equity, with the remainder primarily corresponding to the project companies' net debt.

The acquisition involves Energisa Goiás Transmissora de Energia I, Energisa Pará Transmissora de Energia I, Energisa Pará Transmissora de Energia II, Energisa Tocantins Transmissora de Energia I, and Energisa Tocantins Transmissora de Energia II. All five transmission concession assets are already in commercial operation, located in the Brazilian states of Goiás, Bahia, Pará, and Tocantins.

The assets include approximately 1,305 kilometers of transmission lines, 12 substations, and 4,494 MVA of transformation capacity. Permitted revenue for the 2026–2027 period is approximately R$305 million, with an average remaining concession term of about 22 years. Upon completion of the transaction, these projects will be incorporated into Taesa's transmission asset portfolio.

Energisa and Taesa signed a share purchase agreement in May 2026, with the base equity price set at R$1.545 billion at that time, subject to adjustment based on the Brazilian interbank deposit rate from December 31, 2025. After satisfying closing conditions including regulatory approvals, creditor consent, and shareholder approval, the final payment amount increased to R$1.638 billion. The transaction price may still be adjusted within 90 days after closing in accordance with the contract terms.

Energisa stated that the proceeds from this asset sale will be used to reduce the group's debt. Combined with the R$1.4 billion raised from the earlier sale of Denerge preferred shares, the group's net debt-to-EBITDA ratio has decreased from 3.5x to 3.1x.

After divesting the aforementioned projects, Energisa retains six transmission assets under operation and three under construction. Among them, the EAM 1 Phase II, EAM 2, and EMA projects are scheduled for delivery between August 2027 and June 2030, with total permitted revenue for all assets expected to reach R$737 million.
