Nestlé India Acquires 26% Stake in Radiance KA for Captive Power Supply

en.Wedoany.com Reported - On August 27, Nestlé India signed a share subscription and shareholders' agreement to subscribe to a 26% equity stake in Radiance KA Sunshine Seven Private Limited for INR 76.125 million. Upon completion of the transaction, Nestlé India will hold a 26% stake in the company on a fully diluted basis, with the investment earmarked for captive renewable energy supply to one of its manufacturing facilities.

The subscription involves 7.6125 million shares with a face value and subscription price of INR 10 each, funded from Nestlé India's internal resources. The company expects to complete the transaction within 30 days of signing the agreement, though both parties may mutually agree on an alternative completion date; the transaction does not require government or regulatory approvals.

Radiance KA is a wholly-owned subsidiary of Radiance Renewables Private Limited, primarily engaged in renewable energy generation and sales. The company currently owns and operates a 17.5 MW AC / 26.25 MWp DC solar power plant in Koppal, Karnataka, India. For fiscal year 2025–2026, Radiance KA reported revenue of INR 158 million; in the two preceding fiscal years, revenue stood at INR 170.9 million and INR 157.6 million, respectively.

On January 30 this year, Nestlé India's board had given in-principle approval to invest in special purpose vehicles (SPVs) under Adani Green Energy Limited and Radiance Renewables Private Limited, planning to hold up to a 26% stake in the respective SPVs and offtake at least 51% of each SPV's annual power generation. The formal subscription and shareholders' agreement signed with Radiance KA marks one of these investments progressing from in-principle approval to the agreement execution stage.
