en.Wedoany.com Reported - On October 28, Danish logistics group Scan Global Logistics (SGL Group) signed agreements through its wholly-owned subsidiaries US Skill Bidco Inc. and SGL Australia Pty Ltd to acquire OIA Global, an end-to-end supply chain and logistics services provider based in Portland, Oregon, USA. The transaction is expected to close in the first quarter of 2027. SGL expects to realize approximately USD 31 million in synergies within 18 months after closing, primarily from the integration of the two companies' global networks, complementary businesses and improved operational efficiency, with actual realization depending on the progress of subsequent integration.

Transitional arrangements prior to closing have been clarified: from the signing of the agreements until closing, SGL and OIA Global will continue to operate as independent companies and will not initiate business integration or migrate customer contracts. This arrangement means that OIA's existing operating systems, customer interfaces and local management structure will remain unchanged before closing, and the starting point for realizing synergies is the closing date, not the signing date.

SGL's US customers are concentrated in aerospace and defense, automotive manufacturing and retail; OIA has a business foundation in industrial manufacturing, fashion apparel and healthcare product logistics. OIA has more than 20 operating locations in Asia, covering Shanghai, Ningbo, Qingdao, Guangzhou, Shenzhen and Beijing, as well as Busan, Tokyo, Ho Chi Minh City and Bangkok. After the transaction is completed, SGL can connect its North American customer network with OIA's Asian nodes, enhancing its freight forwarding capabilities from Asia to North America.

OIA itself completed two bolt-on acquisitions in 2026: Cargo Services, Inc. (a US freight forwarder and customs broker in Indianapolis) and About Freight Worldwide (a New Zealand international freight forwarder). The networks and customer relationships formed by these two acquisitions will be included in SGL's integration scope after the closing of this transaction.

On October 26, SGL issued EUR 300 million of five-year senior secured bonds, with part of the proceeds used for this transaction; existing shareholders led by CVC Capital Partners agreed to inject approximately USD 124 million in additional equity at closing.

SGL's 2025 revenue was approximately USD 2.9 billion, and OIA Global's approximately USD 780 million. Combined logistics revenue is expected to exceed USD 3.6 billion, and SGL is expected to enter the global top 20 freight forwarders.
