en.Wedoany.com Reported - Recently, ORLEN New Power, a subsidiary of Poland's ORLEN Group, completed the acquisition of 100% equity in two project companies, securing the construction rights for a 216 MW wind-solar hybrid project. The project consists of a 180 MW photovoltaic plant and a 36 MW onshore wind farm, and has reached ready-to-build status, with construction scheduled to commence in the third quarter of 2026.
The acquisition involves two project companies: Sol
ar Kazimierz Biskupi and KWE. Prior to the transaction, Polish renewable energy developer ONDE held 50% equity in each of the two companies, with the remaining equity held by entities under Neo Energy Group. Upon completion of the transaction, all equity in the two project companies has been transferred to ORLEN New Power.
According to an announcement filed by ONDE with the Warsaw Stock Exchange, the aggregate base price for the equity in the two companies is approximately PLN 62.1 million, of which approximately PLN 51.3 million was paid at the signing of the transaction, with the remaining approximately PLN 10.8 million to be paid after both plants reach commercial operation. The sellers may also receive additional revenue sharing of up to PLN 18 million, with the specific amount linked to electricity sales revenue generated during the technical commissioning period of the two plants.
Following the project acquisition, the original developer will continue to participate in project implementation. ONDE serves as the general contractor, responsible for wind farm roads, lifting platforms, turbine foundations, and medium-voltage cables, and will build the photovoltaic plant and its grid connection facilities under an EPC model; Neo Energy Group is responsible for construction management, while Energa Green Development oversees construction on behalf of ORLEN. The total value of the two construction contracts is approximately PLN 437.2 million, which officially took effect on August 4 upon completion of the equity transaction.
The 36 MW wind farm will be equipped with 9 Vestas V136 turbines, each with a capacity of 4 MW. The photovoltaic and wind power facilities will be built using shared grid connection infrastructure, and are expected to generate approximately 315 GWh of electricity annually once completed. The project is planned to deliver its first power in early 2028 and enter commercial operation in the second quarter of that year; the construction contracts set the final acceptance and project operation handover dates before May 15, 2028 and July 14, 2028, respectively.
