AMETEK Completes $5 Billion Acquisition of Indicor Instrumentation Business
en.Wedoany.com Reported - On August 26, AMETEK completed the acquisition of Indicor Instrumentation, the instrumentation business portfolio of Indicor, LLC, in an all-cash transaction valued at $5 billion. Following the completion of the acquisition, the related businesses were integrated into AMETEK's Electronic Instruments Group (EIG) and Electromechanical Group (EMG) based on product type and market segmentation. AMETEK expects Indicor Instrumentation to contribute approximately $350 million in sales in 2026 and to be modestly accretive to adjusted earnings per share in 2026.
AMETEK signed the acquisition agreement with Indicor in May. At the time of signing, Indicor Instrumentation had annual sales of approximately $1.1 billion, and the $5 billion cash consideration represented roughly 14 times its EBITDA. Approximately 50% of the portfolio's revenue comes from the aftermarket, with products spanning sample preparation, remote monitoring and control, laboratory and process analytical instruments, actuators, food and pharmaceutical safety controls, materials analysis, process control, gas turbine monitoring, in-line inspection, and precision flow measurement.
Indicor's related businesses serve markets including aerospace and defense, automotive, chemicals and fuels, electronics, energy, food and agriculture, medical, materials processing, and utilities. These include laboratory and on-line process analytical instruments, industrial pressure and temperature sensors, flow measurement equipment, water and gas pipeline network monitoring devices, polymer testing instruments, and industrial weighing systems.
On June 9, AMETEK secured dedicated financing arrangements for the acquisition. The company increased its revolving credit facility from $2.3 billion to $3.5 billion, of which up to $1 billion could be used to fund the Indicor acquisition consideration; concurrently, it entered into unsecured term loan agreements totaling up to $4 billion, comprising a $1.625 billion three-year term loan, a $1.625 billion four-year term loan, and a $750 million five-year term loan. The previously secured $5 billion bridge financing commitment for the transaction was subsequently terminated in full.
