U.S. Inspirit Acquires Valiant O&M in August and Establishes VGS

Upon completion of the transaction, the business will operate under the name Vulcan Government Services (VGS), becoming an independent provider of facility operations, maintenance, and logistics services to U.S. government agencies.
This acquisition represents a highly complex corporate carve-out, requiring the mission-critical government services business to be separated from the existing organization and established as a standalone company.
VGS provides logistics and facility services to critical infrastructure such as hospitals, medical facilities, and research laboratories, and manages chemical management and logistics support, serving numerous U.S. government customers through a diverse portfolio of long-term contracts both domestically and internationally. Inspirit Equity is a Los Angeles-based private investment firm that focuses on companies with solid fundamentals, collaborating with management teams to accelerate growth, improve operations, and unlock long-term potential.
Charles Gores, Founder and Chief Executive Officer of Inspirit Equity, stated that VGS has earned a reputation for delivering highly specialized services in environments that demand high standards of operational reliability and excellence. VGS will continue to be led by Chuck Phillips as Chief Executive Officer. Phillips joined Valiant in 2023 and has been responsible for the O&M business as Vice President and General Manager. He stated that operating independently will allow the team to be more focused and agile, and Inspirit's support will help the company continue investing in employees, expanding capabilities, and delivering reliable services. Near-term priorities include adding dedicated business development resources, expanding construction capabilities, and pursuing opportunities in existing and adjacent end markets.
Inspirit Equity worked closely with Valiant and key stakeholders to resolve operational, financial, contractual, and organizational complexities, ensuring VGS operates as a standalone entity over the long term. Ryan Kanaley, Managing Director of Inspirit Equity, stated that such complex transactions require careful planning and close coordination, and the firm is ensuring VGS has the right people, systems, and resources to ramp up operations quickly. VGS will focus on organic growth and potential mergers and acquisitions (M&A), with the immediate priority being to provide the team with the resources and support needed to reach its full potential.
In this transaction, The McLean Group served as exclusive financial advisor to Valiant O&M, Sidley Austin LLP served as legal counsel to Valiant, and Jones Day served as legal counsel to Inspirit Equity. The financial terms of the transaction were not disclosed.
