In 2026, Puerto Ventanas Acquires Puerto Andino Assets for US$58.9 Million
en.Wedoany.com Reported - Chilean port operator Puerto Ventanas S.A., through its subsidiary Logística Portuaria Andes SpA (LPA), has completed the purchase and sale transaction of the assets of Puerto Andino with ENGIE Energía Chile S.A. The port, located in Mejillones Bay in the Antofagasta Region of northern Chile, is used for bulk cargo handling and transshipment. The total transaction price was US$58.9 million, of which LPA has paid ENGIE an initial installment of US$38.03 million, with the remaining amount subject to milestones and conditions stipulated in the purchase and sale contract.

The company disclosed this transaction in a material event notice filed with the Financial Market Commission (CMF), noting that the acquisition signifies a change in its relationship with Puerto Andino. Since 2023, its subsidiary Puerto Abierto S.A. (PASA) has been responsible for the development, operation, and commercialization of the terminal under a commercial agreement signed with ENGIE. In June of that year, PASA began operating and maintaining the facilities and signed contracts for cargo handling at the site. Through this purchase and sale, Puerto Ventanas has advanced from operating the terminal through its subsidiary to acquiring the assets comprising Puerto Andino, pending the transfer of the maritime concession.
The transaction is based on a binding purchase and sale commitment contract signed between Puerto Ventanas and ENGIE on February 25, 2026. Under a right provided for in that agreement, Puerto Ventanas transferred its buyer position under the contract to its subsidiary LPA, which assumed all rights and obligations under the commitment contract. Once the suspensive conditions (condiciones suspensivas) stipulated in the commitment contract were satisfied, LPA and ENGIE signed the asset purchase and sale and partial maritime concession transfer contract, acquiring Puerto Andino's maritime and land facilities, as well as the portion of the maritime concession supporting these facilities. The transfer of the maritime concession remains subject to approval by the Ministry of National Defense (Ministerio de Defensa Nacional).
Puerto Andino features a terminal comprising a mechanized berth as well as maritime and land structures for general bulk cargo handling and transshipment. Puerto Ventanas stated that this acquisition is part of its expansion strategy and, once the suspensive conditions related to the maritime concession transfer are verified, will be consistent with the company's growth strategy. The company also clarified that, to date, it is not possible to quantify the impact of this transaction on its consolidated financial statements.
