US-based PowerTransitions Acquires 1.24 GW Power Plant in New York

en.Wedoany.com Reported - On September 8, US independent power producer PowerTransitions completed the acquisition of the Roseton power station in Newburgh, New York, from a subsidiary of Castleton Commodities International. The station has an installed capacity of 1,242 MW and is fueled by natural gas and fuel oil. It currently remains an operating thermal power asset supplying electricity to Zone G of the New York Independent System Operator (NYISO). The transaction amount was not disclosed.

Roseton is a dual-fuel natural gas and fuel oil power generation facility that has been supplying electricity to Zone G of the New York Independent System Operator (NYISO) since 1974. According to NYISO public capacity data, the Roseton units are located at the Newburgh node, with each unit having a nominal capacity of approximately 621 MW, and the two units at the station together forming an installed capacity of approximately 1,242 MW. The units use steam turbine generation and can operate on natural gas and No. 6 fuel oil.

The acquisition used an equity control transfer structure. According to case filings with the New York State Public Service Commission, the transaction involves Roseton Generating LLC, Roseton Holdings LLC, Riverview Power Holdings LLC, and PT Cloud Power Holdings LLC. Roseton Generating LLC is the direct holding entity of the power station. The transaction was implemented through the transfer of equity interests in upper-tier holding companies, with PT Cloud Power Holdings LLC, a PowerTransitions subsidiary, as the transferee entity obtaining control. New York State regulatory filings also show that after the transaction is completed, Roseton Generating LLC will continue to serve as the direct operating and holding entity of the power station, and the transaction itself does not require changes to the station's day-to-day operating arrangements.

The transaction had previously completed multiple regulatory procedures. The relevant parties submitted the transaction application to the New York State Public Service Commission in May, and the New York State Public Service Commission approved the transfer of control of Roseton in August. The US Federal Energy Regulatory Commission (FERC) also approved the related generation asset transaction on August 13. Records of license control transfers made public by the US Federal Communications Commission also show that, for the industrial radio licenses related to Roseton Generating LLC, the transferor was Roseton Holdings LLC and the transferee was PT Cloud Power Holdings LLC.

PowerTransitions first announced the Roseton acquisition agreement in July, when the transaction still needed to satisfy customary closing conditions and regulatory approvals. The company confirmed completion of the acquisition on September 8, entering the stage of completed asset closing earlier than its previously stated plan to complete the deal "within the year." Roseton has thus formally been incorporated into PowerTransitions' operating asset portfolio.

After completing the Roseton transaction, PowerTransitions' operating power generation asset scale increased to approximately 1.8 GW, comprising 8 power stations in total and covering three power markets: NYISO, PJM, and ISO New England. Previously, in July, the company completed the acquisition of five natural gas power generation facilities in New York State: Hillburn, Shoemaker, Massena, Batavia, and Sterling. The five stations have a combined installed capacity of 323 MW. After the closing of that batch of assets, the company's operating asset scale at that time was approximately 550 MW.

After the completion of the Roseton transaction, PowerTransitions plans to continue operating the existing power generation facilities and to advance the development of a multi-purpose energy park based on the station's existing site and grid infrastructure. The development scope the company has clearly identified includes adding energy storage facilities and other new power generation capacity, but it has not yet announced the scale of new energy storage at the Roseton site, the capacity of new power sources, the investment amount, or a specific construction timetable. PowerTransitions' existing development model covers new power generation, energy storage, and land projects for power supply to large electricity customers.
