Japan's Tungaloy to Merge with NTK and Build New Nagoya Cutting Tool Plant

en.Wedoany.com Reported - On September 4, Japanese cutting tool manufacturers Tungaloy Corporation and NTK Cutting Tools Co., Ltd. announced that the two parties plan to implement a merger effective January 1, 2027, subject to applicable legal and regulatory requirements. After the merger is completed, the integrated company will operate under the Tungaloy name, while the NTK brand will be retained; the relevant business division of NTK Cutting Tools will be incorporated into Tungaloy as an independent business division.

According to the merger arrangement announced by both parties, effective January 1, 2027, all existing contractual rights, obligations, and liabilities of NTK Cutting Tools Co., Ltd. will be transferred to and assumed by Tungaloy Corporation. Products and services under the existing Tungaloy and NTK brands will continue to be supplied, and specific operational adjustments involving NTK customer transaction processes will be announced separately once the relevant plans are finalized.

The two parties have also decided to build a new headquarters and manufacturing base for NTK Cutting Tools in the Nagoya region of Japan. Tungaloy disclosed that the project is a multi-million-level investment that will expand NTK's cutting tool production capacity and introduce new manufacturing technologies; the new facility will centrally house manufacturing, engineering, marketing, and corporate management functions. The official specific investment amount, plant area, additional production capacity, number of equipment units, and start of construction and production timelines have not yet been announced.

This integration involves the existing cutting tool product systems of both companies. Tungaloy's existing business covers cutting tools for turning, milling, drilling, and grooving, and it has the capability to develop tool material grades; NTK Cutting Tools retains its ceramic cutting tool and small-part machining tool product lines. After the merger, the NTK brand and its specialized product system will continue to operate in the form of a business division and will not be directly eliminated or merged into a single Tungaloy brand.

At this stage, the clear timeline for the merger is January 1, 2027. The two parties have not yet announced the construction contractor for the new Nagoya plant, the production equipment suppliers, the specific product allocation plan, or the subsequent adjustment plans for existing plants; relevant transaction and operational changes will be separately notified to customers and partners once the integration plan is finalized.
