Japan's Shimadzu Acquires Electron Microscope Manufacturer TESCAN for $711 Million

en.Wedoany.com Reported - Shimadzu Corporation of Japan has completed the acquisition of all shares of Czech Glass HoldCo s.r.o., thereby indirectly holding all equity in European electron microscope manufacturer TESCAN GROUP, a.s., making TESCAN a wholly owned subsidiary. The transaction amount is $711 million (approximately 115.2 billion yen at an exchange rate of 1 USD to 162 JPY), completing the share acquisition procedure announced by Shimadzu on December 25, 2025. TESCAN is expected to be consolidated into Shimadzu's balance sheet from the second quarter of the fiscal year ending March 2027, and into the consolidated income statement from the third quarter.

TESCAN is an instrument manufacturer specializing in the observation, processing, and analysis of material microstructures, with products covering scanning electron microscope systems, focused ion beam scanning electron microscope systems, transmission electron microscope systems, X-ray micro-computed tomography systems, and laser processing systems. Its electron microscopes are widely used in the semiconductor, life sciences, and materials fields, with over 4,000 units sold cumulatively across 80 countries worldwide.

This acquisition aims to provide end-to-end solutions in the semiconductor, life sciences, and materials fields by combining the composition and physical property data obtained from Shimadzu's chromatographs, mass spectrometers, and testing machines with the surface observation data generated by TESCAN's electron microscopes and related systems. At the same time, Shimadzu plans to expand sales channels for TESCAN products in Asia, where Shimadzu has a strong market presence, and promote Shimadzu products in Europe and North America, where TESCAN has an established customer base.

As of the completion of the transaction, Shimadzu has adjusted the management structure of the two companies. At the Glass HoldCo s.r.o. level, Jean-Charles Chen and Pavel Šustek will continue to serve as directors, with Shimadzu appointing Haruhiko Miyagawa, Robert Kaubek, and Tomio Kitamura as new directors; Vladimir Lasocki, Petr Rieger, Marek Nechvátal, and Cyrille Sudraud have resigned as directors. At the TESCAN GROUP, a.s. level, Jean-Charles Chen, Pavel Šustek, and Antonín Sedláček remain as directors, with Shimadzu also appointing Haruhiko Miyagawa, Robert Kaubek, and Tomio Kitamura as new directors, among whom Haruhiko Miyagawa will serve as Chairman of the Board.
