(TSXV: UTWO) issued a news release regarding the results of the Ontario Securities Commission's (OSC) review of its preliminary base shelf prospectus, pursuant to OSC Staff Notice 51-711 (Revised) (SN 51-711), concerning the refiling of certain documents requiring corrections or clarifications, and the filing of material agreements not previously disclosed on the SEDAR+ system.
The Company has refiled its condensed interim consolidated statements of financial position as of February 28, 2026, and November 30, 2025, on SEDAR+. The purpose of the refiling is to confirm that the auditor has reviewed the interim financial statements and to remove the notice to reader, while enhancing disclosure regarding deferred consideration payable under the share purchase agreement (SPA), and improving certain related party disclosures. Additionally, the share purchase agreement dated June 18, 2025, and related amendments have been refiled to remove the redacted names of the parties from the previous version.
The Company has also filed on SEDAR+ two material agreements not previously publicly disclosed: an agency agreement dated December 1, 2025, for a subscription receipt offering involving Canaccord Genuity Corp., U92 Energy Corp., and U92 Corp. (U92 PrivateCo), which was conducted concurrently with the Company's qualifying transaction; and an asset purchase agreement (data agreement) dated May 28, 2026, with Beaconsfield Ventures Ltd., pursuant to which the Company acquired a complete historical technical and exploration dataset related to the Kurupung uranium project in Guyana.
In accordance with SN 51-711, the Company will be included in the public list of refilings and errors for a period of three years as a result of filing the above corrective disclosures.
Regarding project progress, the Company has submitted an environmental application and an environmental management plan to the Guyana Environmental Protection Agency (EPA) for its proposed Phase 1 drilling program. The Company has decided to proceed with completing on-site infrastructure construction and expects Phase 1 drilling to commence in August 2026, following EPA approval of the environmental management plan.
