Larvotto Resources proposed in June to acquire Hammer Metals via a court-approved scheme of arrangement, with the transaction progressing under a binding scheme implementation deed. Based on Larvotto's closing price of A$1.33 per share on 5 June 2026, the scheme consideration equates to A$0.06 per Hammer share, valuing Hammer's fully diluted equity at approximately A$54 million, an 18% premium to Hammer's closing price on 4 June 2026. Upon completion of the transaction, Hammer's Mount Isa asset portfolio is expected to add 530,000 tonnes of copper-equivalent JORC resources to Larvotto.
On 3 August, Austral Resources submitted a clear, binding written proposal to acquire Hammer Metals, also via a scheme of arrangement. The proposal values each Hammer share at A$0.087, totalling approximately A$80.7 million, comprising two components: 1.29 Austral Resources shares per Hammer share (valued at A$0.080 per share), plus an implied value of A$0.007 per share through Carnegie Exploration shares. If the transaction is completed, Hammer shareholders are expected to hold approximately 31.1% of the enlarged Austral Resources. The offer represents a 50.8% premium to the offer price in Larvotto's bid.
Hammer Metals has notified Larvotto Resources that the Austral Resources proposal has been deemed a superior proposal. Larvotto Resources has been granted five business days to submit a formal matching, equal, or superior proposal, with the matching period expiring on Monday, 10 August 2026.
As the bidding progresses, the Australian Federal Government and the Queensland State Government launched the Mount Isa Transformation Study in May this year, aimed at strengthening the region's copper industry. The study will cover the copper value chain in northwest Queensland from Mount Isa to Townsville, assessing long-term industrial capacity and regional growth opportunities.
Hammer Metals' local Kalman Project has estimated resources of 39.2 million tonnes at a copper-equivalent recovery grade of 1.1%. Both Austral Resources and Larvotto Resources hold copper assets in the Mount Isa region. The largest copper mine in the area is Glencore's (LSE:GLEN) Mount Isa Mines, which closed in the second half of 2025 after six decades of copper mining.
Queensland's copper industry is one of the pillars of the state's mineral output. In 2023, the sector directly employed 5,000 people and contributed A$2.7 billion annually to Australia's export revenue; copper exploration expenditure in the same year reached A$163 million, accounting for approximately 46% of total exploration costs. Queensland produces roughly half of Australia's total refined copper output, with annual production exceeding 200,000 tonnes, equivalent to approximately 1% of global copper production.
