Analog Devices Signs $1.35 Billion Agreement to Acquire Alif Semiconductor
en.Wedoany.com Reported - On September 9, Analog Devices, Inc. (ADI) signed a definitive acquisition agreement with Alif Semiconductor. Analog Devices will acquire Alif Semiconductor in an all-cash transaction for an upfront consideration of $1.35 billion, with up to an additional $200 million in contingent consideration payable subject to the terms of the agreement. The boards of directors of both companies have approved the transaction, which is expected to close by the end of 2026.

The transaction brings Alif Semiconductor's AI-native microcontrollers and fusion processor products into Analog Devices' product portfolio. Alif's processors use a heterogeneous computing architecture that can integrate a neural processing unit (NPU), graphics acceleration, connectivity, and power management functions, supporting real-time sensor fusion, low-latency inference, and on-device AI processing, with a product architecture spanning single-core to multi-core configurations. Alif's related chips are currently in mass production and shipping, and have secured design wins with customers in the consumer electronics and industrial sectors.
Analog Devices' existing business covers sensing, signal processing, power, connectivity, and application software. Under the terms of the transaction, Alif's digital processing platform will be combined with Analog Devices' analog and mixed-signal technology portfolio, with the related products targeting application markets including industrial systems, data center infrastructure, defense, energy, robotics, digital healthcare, and wearable devices.
The closing of the transaction remains subject to customary closing conditions and the completion of the waiting period and related procedures under the U.S. Hart-Scott-Rodino Antitrust Improvements Act.
