en.Wedoany.com Reported - Freight technology company Einride AB has announced that it has reached a definitive agreement to acquire Flipturn, Inc., a developer of electric vehicle fleet charging and energy management software. The acquisition aims to lay the foundation for the largest heavy-duty electric truck charging ecosystem in North America, connecting available charging capacity with fleets transitioning to electrification.
Flipturn's existing customer base has over 250 megawatts of charging capacity, covering some of the largest trucking, autonomous driving, and last-mile delivery fleets in North America. After the acquisition, Einride's energy management volume will more than double. The purchase price is $38.4 million, to be paid in Einride American Depositary Shares (ADS), with the specific number of shares determined by reference to the volume-weighted average share price from June 10, 2026 (the company's first trading day) to two trading days before the closing date. As of the close on July 20, 2026, this weighted average share price was approximately $10 per share. Flipturn shareholders are also entitled to additional ADS consideration upon achieving certain milestone conditions. The transaction is expected to close in July 2026, subject to customary closing conditions and regulatory approvals.
Einride CEO Roozbeh Charli stated that this acquisition is a decisive step in the U.S. expansion strategy, enhancing Einride's software layer for heavy-duty electric freight optimization and improving customer offerings by providing more cost-effective, reliable, and accessible charging services. He noted that with Flipturn, Einride is poised to become the first company in the industry with a fully vertically integrated electric freight technology stack.
Einride's AI-driven platform, Saga AI, already supports over 19 million electric miles globally, optimizing vehicle utilization, energy consumption, and operational performance. Flipturn will strengthen the software layer of charging infrastructure, using AI to predict charging times, optimize power delivery, and adapt to dynamic changes in vehicle and battery behavior across fleets, while keeping chargers online, handling driver access and payments (eMSP), and coordinating on-site controllers.
Flipturn's energy management technology also reduces grid energy costs through time-of-use rates and demand charge management, thereby lowering total energy costs. By aggregating charging demand at scale, Einride can negotiate more competitive access to third-party charging networks.
