Vita Signs Heads of Agreement with Otago Gold for New Zealand Hard Rock Exploration

en.Wedoany.com Reported - Vita Resources (ASX:VTA) has signed a Heads of Agreement (HOA) with Otago Gold, securing exclusive rights to evaluate, explore, develop, and potentially mine hard rock targets deeper than 10 meters below surface within Otago Gold's project portfolio in the Southland and Otago regions of New Zealand.

Vita Resources' Non-Executive Chairman Gavin Rutherford stated that this partnership creates new opportunities in a jurisdiction with a favorable policy environment. He noted that New Zealand's global achievements and reputation in agriculture and dairy have long led the market to overlook its gold production potential; combined with current gold prices and the country's gold endowment, New Zealand's primary industries should be represented by both agriculture and mining in the future.

In July 2026, Rutherford met with New Zealand's Minister for Resources Shane Jones to present this partnership model. He said the Minister responded enthusiastically to the potential for job creation, industrial growth, and GDP expansion.

Otago Gold utilizes non-fungible tokens (NFTs) for financing and employs its own proven farm-in access model and traditional owner engagement model, with no plans to conduct deeper or larger-scale exploration on its tenements.

Rutherford believes Otago Gold is a standout player in the new-generation alluvial gold mining sector, with its industry position derived from farm-in access, agreements, and connections with traditional owners, coupled with a keen eye for the right geological targets—highly complementary to the exploration expertise Vita brings to this partnership.

Under the terms of the agreement, Otago Gold holds a 20% interest in any given project, with Vita funding associated costs on a free-carried basis until completion of a feasibility study or a mining decision. At that point, Otago Gold's 20% interest may be elected to convert into a joint venture, convert into a 2% net smelter royalty, or be sold at fair market value; Vita holds a right of first refusal over any such transfer.

Otago Gold also retains all alluvial gold rights across the entire project portfolio.

Vita stated that this partnership aligns with its strategy to expand its gold exploration business and will operate as a sister operation to its Ninnis project in Western Australia. The company has three months to complete due diligence before deciding whether to enter into a binding formal agreement.
