RPM to Acquire Italian Waterproofing Materials Company Volteco

en.Wedoany.com Reported - U.S.-based RPM International announced that it has signed a definitive agreement to acquire Volteco S.p.A., an Italian underground structure waterproofing materials company. Upon completion of the transaction, Volteco will be integrated into RPM's Tremco Construction Products Group (Tremco CPG). The transaction is expected to close in the second quarter of RPM's fiscal year 2027, subject to customary closing conditions, with the transaction amount not yet disclosed. Volteco's 2025 sales were €28 million.

Volteco is headquartered in Ponzano Veneto, Italy, with its business focused on underground structures and building waterproofing systems. The company's core products include Amphibia waterproofing membranes, and it also produces bagged repair powders, flexible liquid waterproofing materials, mortars, resins, and damp-proofing materials, which can be applied to waterproofing projects for underground structures, public buildings, and infrastructure.

Amphibia is one of Volteco's current main technical products. It is a water-reactive waterproofing membrane and has been used in projects such as the preservation of historic buildings in Venice, the Santa Giulia Ice Hockey Arena in Milan, the L'Aquila underground transit tunnel, and the Y-40 deep water facility. The product has also entered the North American market and was used for the underground waterproofing of the Fort Lauderdale Convention Center expansion project in Florida, USA.

RPM plans to integrate Volteco into Tremco CPG's existing building envelope systems. Tremco CPG currently owns brands including Tremco, Nudura, Dryvit, Flowcrete, Nullifire, and Vandex, covering building waterproofing, insulation, exterior walls, flooring, fire protection, and concrete systems. After Volteco is integrated, its underground waterproofing and membrane technologies will complement Tremco CPG's existing building envelope product portfolio.

RPM achieved sales of $7.86 billion in fiscal year 2026, a year-over-year increase of 6.7%. The company has long expanded its specialty coatings, sealants, and construction chemicals businesses through mergers and acquisitions, completing approximately 190 acquisitions over the past 30 years, including more than 60 in the past 10 years.
