UK's SigmaRoc acquires Lithuanian dolomite producer for €118 million

en.Wedoany.com Reported - On September 7, SigmaRoc, a European lime and mineral materials group, signed an agreement to acquire Akcinė Bendrovė "Dolomitas," a Lithuanian dolomite producer. The core business transaction consideration is €110 million, calculated on a debt-free, cash-free basis. SigmaRoc will also pay €8 million to acquire certain non-core assets, bringing the total consideration to €118 million. The transaction remains subject to relevant regulatory approvals and is expected to complete in the fourth quarter of 2026.

Of the €110 million core acquisition consideration, €90 million will be paid in cash, with the remaining €20 million paid in SigmaRoc shares. The company will issue 13,333,334 shares to the seller at an issue price of 129 pence per share. The cash portion will be funded from SigmaRoc's existing financial resources, and the newly issued shares are expected to be admitted to trading on the AIM market following completion of the transaction.

Dolomitas currently produces approximately 3.5 million tonnes of high-quality dolomite per year, with an existing reserve and resource base of approximately 25 years, alongside the potential to secure approximately 20 additional years of new reserves and resources. The company produces more than 40 dolomite products, including mineral fillers, and owns its own trucks, railway open wagons, and logistics terminals located across Lithuania's major cities.

For the 12 months ended December 31, 2025, Dolomitas generated revenue of approximately €70 million, EBITDA of approximately €18 million, and an EBITDA margin exceeding 25%. Upon completion of the transaction, Dolomitas will operate as an integrated business unit within SigmaRoc's Baltic platform. SigmaRoc currently has quarrying and distribution operations in Lithuania, Latvia, and Estonia.

SigmaRoc expects the acquisition to be earnings accretive to the group from 2027. Dolomitas's existing dolomite products can supply the steel, pulp and paper, chemical, mining, and construction materials markets in which SigmaRoc operates, with high-magnesium dolomite also used in steel production.
