According to a regulatory disclosure filed by the port operator on June 3, ICTSI, through its wholly-owned subsidiary IRB Holding Ltd., acquired all equity interests in São Paulo-based CRAGEA. CRAGEA provides general warehousing, bonded warehousing, and multimodal logistics services.
ICTSI stated that the transaction aims to enhance operational and energy efficiency, alleviate logistics bottlenecks, expand the hinterland coverage of its port assets, and provide secure and innovative alternatives for foreign trade customers through differentiated and strategic logistics solutions, with rail as the preferred mode of transport. The total consideration for the acquisition is less than 10% of ICTSI's consolidated shareholders' equity as of December 31, 2025, and March 31, 2026. The consideration has been negotiated and will be paid in cash.

Last year, ICTSI, through its wholly-owned subsidiary ICTSI Americas B.V., acquired a 47% interest in Inhaúma Fundo De Investimento Imobiliário – FII, which holds the permanent use rights to a property of approximately 32 hectares of a former shipyard. The property, adjacent to ICTSI Rio, will serve as additional capacity for existing operations in the short term and lay the foundation for future development of a private-use terminal.
