Uber Acquires Delivery Hero for $14.8 Billion, Expanding Logistics to 99 Markets

According to disclosures, the combined business is projected to have an estimated total booking value of approximately $236 billion in 2025, marking one of the largest transactions in the history of the food delivery and quick commerce industry.

The transaction involves a cash payment of €41.50 per share to Delivery Hero shareholders, with an adjusted value of $13.7 billion considering Uber's existing stake in the German company. As part of the deal, Delivery Hero will sell its operations in 14 markets to investment firm SSW Partners for approximately $1.6 billion, which will subsequently seek strategic partners for these assets. This move aims to address markets where Uber Eats and Delivery Hero have significant operational overlap.

Upon completion of the acquisition, Uber will integrate Delivery Hero's operations in 50 markets, covering South Korea, Saudi Arabia, Argentina, Peru, Uruguay, Panama, Guatemala, Costa Rica, the Dominican Republic, and Venezuela, as well as several countries in Asia, Africa, and Eastern Europe. In Latin America, the transaction will allow Uber to integrate brands such as PedidosYa, with operations spanning Argentina, Bolivia, Costa Rica, the Dominican Republic, El Salvador, Guatemala, Honduras, Nicaragua, Panama, Paraguay, Peru, Uruguay, and Venezuela. SSW Partners will acquire operations in 14 markets, including Chile and Ecuador, where it will take control of PedidosYa, as well as Delivery Hero's operations in other markets such as Spain, Portugal, Poland, Greece, Austria, Sweden, Norway, and Turkey. This transaction will increase the number of countries where Uber offers both mobility and delivery services from 34 to 58. Uber stated that users who utilize both mobility and delivery services generate approximately three times the total booking value and profitability of users who use only one of these services.

The tender offer is subject to regulatory approvals, including from the German financial regulator BaFin, and requires acceptance by at least 50% plus one share of Delivery Hero's shares. Uber currently holds approximately 24.8% of Delivery Hero's voting shares and has an additional economic exposure of about 11.7% through financial derivatives. Shareholder Prosus, which holds approximately 17% of the company's shares, has irrevocably committed to selling its stake, which would increase Uber's economic interest to approximately 53%. The transaction is expected to close in the second half of 2027, subject to all regulatory and corporate conditions being met.

Delivery Hero CEO Niklas Östberg stated that this partnership represents the next step in the company's development and will help advance its strategy of becoming a "daily app" by integrating consumers' everyday services. Delivery Hero's supervisory board unanimously supported the proposal and announced that it would recommend shareholders accept the offer after the formal transaction documents are released. As part of the commitment, Uber will retain Delivery Hero's headquarters in Berlin and has pledged not to make changes to the German workforce until at least 2029. Additionally, Uber announced a plan to invest €2 billion in Germany over the next five years for business growth, talent development, and collaboration with the German automotive industry to deploy autonomous vehicles.
