en.Wedoany.com Reported - Prumo Logística has signed an agreement to acquire Siemens' 22.11% stake in the GNA I thermal power plant located at Porto do Açu in Rio de Janeiro, Brazil. The plant operates a combined-cycle natural gas thermal power facility with an installed capacity of approximately 1,338.3 MW, along with a liquefied natural gas (LNG) regasification terminal with a daily processing capacity of 21 million cubic meters.
The agreement has been submitted for approval to the Administrative Council for Economic Defense (Cade) and was disclosed to the market this week. The GNA I thermal power plant commenced commercial operations in September 2021, with an investment of approximately US$1 billion, and has been under a 23-year regulated environment power sales contract (CCEAR) since 2019. Currently, the shareholder structure of GNA I is as follows: Siemens holds 22.11%, SPIC Brasil Energia Participações holds 33%, and GNA Infra, indirectly controlled by Prumo, holds 44.99%.
Prumo stated to the antitrust authority that this acquisition will expand its exposure to the assets forming the Açu Gás Hub, which aims to integrate Porto do Açu as a logistics and energy infrastructure hub. The transaction also aligns with the company's capital recycling strategy. For Siemens Participações, this represents a divestment opportunity, and upon completion of the transaction, Siemens will exit the equity structure of GNA I. The Siemens Group will retain a 7% stake in the thermal power plant through Siemens Energy, which is responsible for supplying all systems and equipment for the power islands of both GNA I and GNA II plants, as well as undertaking the operation and maintenance of the projects.
